1. About CEB Consultants.
CEB Consultants is a trading name of Compare Energy Bills Ltd, a company registered in England and Wales under Company Number 06373346.

For the purposes of these terms, Compare Energy Bills Ltd will be referred to as "CEB."
Please note that CEB is not a supplier or provider of any utility services. We just provide advice and recommendations.
2. Our Services and What We Do
The core services on which we advise are Commercial Gas, Commercial Electric and Commercial Water Contracts, we also offer other services, please see section 3 of these terms or visit our website: www.cebconsultants.co.uk
Our role is to act as an independent agent; on your behalf, we will review and assess the services or products you have requested, analysing your existing costs and their service levels.
If you require a new service or an existing service is due for renewal, we will:
Request offers from your current providers.
Source alternative quotes from other providers.
Present these options to you along with our professional recommendations.
You are under no obligation to accept any of our recommendations. We only recommend providers and products that are regulated by their respective governing bodies.
Once you select an offer, we will handle all necessary paperwork on your behalf. Please note that our service does not constitute investment advice.

4. Our Standard Payment Terms
These apply to Gas, Electricity, and Water contracts only. Should you choose to use us for our other services these will be priced separately and agreed upon at the time of negotiation.
You acknowledge that CEB receives payment for arranging commercial Gas, Electric and Water contracts, these payments will be made to CEB through one of the following options:
Option 1: Fee-Based Model.
You agree to pay CEB a fixed monthly fee for each contract we negotiate, and you accept.
The cost of negotiating and managing each contract will be presented and agreed upon in writing before signing our agreement.
If you choose the fee-based model, we guarantee that all core service contracts negotiated on your behalf will be free of hidden costs or commissions.
The monthly fee for each contract will only commence in the same month the relevant contract goes live.
All monthly fees will be collected via GoCardless, and you will receive a monthly invoice confirming the amount and the payment date.
Your obligation to pay the agreed monthly fee will continue for the duration of the contract we have sourced on your behalf.
Each contract’s fee will be treated as an individual payment and will begin, end, or renew per contract terms. See Section 9 for details on our renewal process.
For clients with multiple sites, fees will be calculated per contract but invoiced and collected as a single payment.
Any changes to the agreed fees must be confirmed in writing by both parties before taking effect.
Option 2: Commission-Based Model
You agree that CEB may include a commission in the contracts we negotiate on your behalf. This commission will be paid directly to CEB by the relevant supplier or service provider.
You also agree that we may retain this commission, and we will inform you of the amount.
Both parties will agree on the selected payment model before you proceed with our services.
5. Information & Confidentiality
All information you provide will be kept in the strictest confidence in accordance with our GDPR and Privacy Policy.
You agree to update us if any information you have provided becomes outdated or inaccurate.
Authority to Act on Your Behalf
To enable us to communicate with suppliers and negotiate contracts or other services on your behalf, you will be required to sign our Letter of Authority. This must be put on your company’s headed paper. This authorisation allows us to arrange contracts on your behalf; however, we will never sign contracts on your behalf.
Service Transfers & Provider Changes
If we recommend a product and you choose to proceed, it is your responsibility to review and understand the terms and conditions set by the product provider. These terms are separate to ours and CEB accepts no liability for any consequences arising from your failure to review the provider's terms before signing their contract.
If signing a supply contract requires switching providers due to pricing or service levels, the decision to proceed is entirely yours. If you choose to switch, we will manage the transfer process in line with the provider’s contract terms or as soon as practically possible. All transfers will be made using the business details you provide, and we accept no responsibility for errors in the details provided details. It will be your responsibility to check them all before signing.
Termination of an existing supply contract
If termination of an existing contract is required, we will notify you and offer to handle the process. However, please note that if you incur any early termination fees or charges imposed by the relevant provider, they are your responsibility, not that of CEB.
6. Additional Costs and Responsibilities
CEB accepts no liability for any additional costs incurred due to:
Your request for a delayed service starts date.
Your previous supplier or provider preventing the transfer of services.
Incomplete, incorrect, or missing information provided by you, or the unavailability of required information from third parties.
Delays caused by circumstances beyond our control.
Any other factors, whether within or beyond our control.
It is your responsibility to ensure that all service installation appointments are attended. Missing an appointment may result in additional charges from the relevant provider or their agents, for which CEB holds no responsibility.
7. Sourcing Products and Services on Your Behalf
When sourcing products or services, we consider various factors based on your specific circumstances. Our recommendations may not always be the cheapest available option.
Providers may conduct credit checks on you or your business. Depending on the results, they may require a deposit or decline to provide services.
Your Responsibilities:
You must provide accurate and truthful information when answering any questions.
Any incorrect information or false assumptions may lead to contract cancellation or additional costs.
CEB accepts no liability for invalid contracts or increased costs resulting from incorrect or incomplete information.
Signing Contracts:
When you accept a quote from a supplier, we will provide the most convenient method for signing their contract. This may include:
DocuSign (electronic signature)
PDF documents for manual signing
A direct link to the supplier’s website for contract completion
Again, we reiterate it is your responsibility to verify that all details are correct before signing any contract. Neither CEB nor the supplier accepts liability for incorrect information provided by you.
We also reiterate strongly that you to review the supplier’s own terms and conditions before signing, as they are not the same as these and could impact your decision.
8. Other Services
If you require any of our other services , these will be charged separately. All fees will be agreed upon by both parties before any work begins and if necessary, will be invoiced separately.
9 Renewals
Option One - Fee Based clients
Before the expiry of a Gas, Electric or Water contract we have sourced on your behalf and you accepted, we will contact you to discuss the renewal options.
At this stage, CEB have the right to renegotiate fees and the service levels. Any changes must be agreed by both parties in writing before signing a new CEB agreement.
Once a renewal agreement is signed, the service and associated fees will continue as agreed until the expiration of the last contract sourced on your behalf, and you signed.
Our renewal process will continue until terminated in accordance with our terms.
Option 2 - Commission Based Clients
If you choose to renew a Gas, Electric or Water contract using our service, the agreed commission will continue to be paid by the relevant supplier/provider. You agree that we may retain this commission, and we will inform you of the amount.
10. Your Right to Terminate Our Services.
For fee paying clients our agreement will automatically end on the expiration date of the last contract we negotiated on your behalf and that you accepted, unless renewed.
If you wish to terminate this agreement earlier, you must provide written notice to:

Termination will take effect on the date when we receive the written notice or if this is not a working day, the next working day after receipt.
Your termination request will be confirmed in writing. You remain responsible for paying any fees under these terms incurred up to and including the date of termination. Failure to make payments may result in legal action, which could impact your credit status.
Any supplier transfers initiated by CEB that are scheduled to take effect after your termination date will become your sole responsibility.
11. Our Right to Terminate This Agreement
We reserve the right to terminate this agreement immediately if:
You breach these terms and conditions.
Legal or regulatory reasons prevent us from delivering our services.
12. Terminating a Provider’s Service
Each provider has its own terms and conditions for contract cancellations or terminations.
If you wish for us to initiate a termination request with a provider on your behalf, you must submit a written request to:

We accept no responsibility if a supplier or provider refuses to accept a termination notice submitted by us on your behalf.
13. No Representation / Limited Authorisation
CEB is an independent agent acting on your behalf. While we may have commercial relationships with certain providers, we do not represent or act as an agent for any supplier.
We exercise our own judgment when selecting and recommending offers to ensure transparency and avoid conflicts of interest.
After facilitating a contract on your behalf, we continue to act as your agent for:
Customer service support
Bill validation
Complaints handling
All other contractual obligations remain between you and your supplier or provider.
14. Credentials and Passwords
We may require your explicit permission to access your supplier or provider account information, including usernames and passwords. Any such information will be handled in strict confidence in accordance with our GDPR and Data Protection Policy.
15. Use of the Service
You may only use our service in compliance with our terms, the following uses are strictly prohibited:
Using the service for any purpose inconsistent with these terms.
Using the service for research purposes, including surveys, data collection, or competitor analysis.
We reserve the right to block access if we believe the service is being misused.
16. Warranties
Your Warranties:
By using our service, you confirm that:
You are at least 18 years old.
You are a UK resident who owns or rents a property in the UK or are acting on behalf of a UK-registered business.

We will exercise reasonable care and skill in delivering our services.
We will use commercially available antivirus software to scan materials before sending them to you.

You understand that our service provides information, advice, and recommendations only and does not constitute legal, financial, or investment advice.
You are responsible for reviewing the terms and conditions of any product or service you purchase.
17. Liability
CEB will not be liable for:
Loss of profit, business revenue, or goodwill.
Loss or damage resulting from your negligence or breach of duty.
Delays, interruptions, or failures caused by circumstances beyond our reasonable control.
Claims, losses, or damages arising from the use of any product or service purchased
Our Liability to you shall not except in the case of death or personal injury caused by our negligence, exceed the amount which you are liable to pay us for our services.
You will indemnify us and hold us harmless on a continuing basis against all loss, Liability, damage or claims of any kind arising from your use of any of the services recommended to you by us or from your performance of or breach of this contract.
18. Changes to the Service
We reserve the right to update or modify these terms at any time. You will be notified in writing of any changes.
19. Waiver
A waiver of any right or remedy under these terms is only valid if given in writing and signed by both parties. Failure to enforce any part of these terms shall not be considered a waiver of any future rights or obligations.
20. Entire Agreement
These terms constitute the entire agreement between you and CEB, superseding any prior agreements, understandings, or representations, whether written or verbal.

22. General
These Terms of Business may not be assigned or transferred by you to another person or business without our prior written consent.
We reserve the right to transfer our obligations under these Terms to any member of our business group or any person acquiring our business. Such a transfer shall take effect upon written notice to you.
Nothing in these Terms shall create or be deemed to create a partnership or joint venture between the parties.
If any provision of these Terms becomes illegal, invalid, or unenforceable, we reserve the right to modify it as necessary to maintain the intent and enforceability of the agreement.
A third party who is not a party to these Terms shall have no right to enforce any provisions under the Contracts (Rights of Third Parties) Act 1999.
These Terms and Conditions, along with our Privacy Policy and Cookie Policy, constitute the entire agreement between the parties and supersede all prior agreements, statements, letters, or arrangements relating to the subject matter.
23. Legal
By accessing or using our services, you agree to be bound by these Terms, as well as our Privacy and Cookie Policies.
These Terms shall be governed by and interpreted in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
We are not responsible for the content of any external websites linked from our website. By clicking on any external link, you acknowledge that you will be subject to the terms and conditions of the linked website, which are separate from our own.
